This End User Licence Agreement ("EULA") is a legal agreement between you ("you" or "User") and Motivatum ("we", "us" or "our") regarding your use of the Motivatum application (the "App"). By downloading, installing or using the App, you agree to the terms of this EULA.
1. Licence grant
We grant you a limited, non-exclusive, non-transferable, revocable licence to download, install and use the App on devices that you own or control, solely for your personal, non-commercial purposes.
This licence does not allow you to use the App on any device that you do not own or control.
2. Restrictions
You must not:
- Copy, modify, merge, distribute, sell, sublicence or transfer the App or any copy of it
- Reverse engineer, decompile, disassemble or attempt to derive the source code of the App, except as expressly permitted by applicable law
- Remove, obscure or alter any proprietary notices, labels or marks on the App
- Use the App to develop a competing product or service
- Use the App in any unlawful manner or for any unlawful purpose
3. Intellectual property
The App and all related content, features and functionality are owned by us or our licensors and are protected by copyright, trade mark and other intellectual property laws. This EULA does not transfer any intellectual property rights to you.
4. Updates
We may from time to time develop and provide updates to the App, which may include upgrades, bug fixes, patches and other error corrections or new features. Updates may automatically install on your device without prior notice. You consent to this automatic installation. You acknowledge that the App, or any feature of it, may be modified or discontinued without prior notice.
5. Your content
You retain ownership of all content you create or submit through the App ("Your Content"). By using the App, you grant us a limited, non-exclusive licence to store and process Your Content solely to provide the App's services to you.
You are responsible for Your Content and must ensure it does not violate any applicable law or the rights of any third party.
6. Third-party services
The App may use or integrate with third-party services (including Google Firebase for authentication and data storage). Your use of those services is governed by their respective terms and privacy policies. We have no responsibility for third-party services.
7. Apple-specific terms
If you downloaded the App from the Apple App Store, the following additional terms apply:
Acknowledgement
You acknowledge that this EULA is between you and us only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.
Scope of licence
The licence granted to you is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control and as permitted by the App Store Terms of Service.
Maintenance and support
We are solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.
Warranty
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the App to you (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be our sole responsibility.
Product claims
We, and not Apple, are responsible for addressing any claims by you or any third party relating to the App or your possession or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
Intellectual property
In the event that any third party claims that the App or your possession and use of the App infringes that third party's intellectual property rights, we, and not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
Legal compliance
You represent and warrant that: (i) you are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country; and (ii) you are not listed on any US Government list of prohibited or restricted parties.
Third-party beneficiary
You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
8. Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must stop using the App and delete all copies from your devices.
We may also terminate or suspend your access to the App at any time if you breach this EULA or our Terms of Service.
9. Disclaimer of warranties
The App is provided "as is" without any warranty of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the App will be uninterrupted, error-free or free of harmful components.
10. Limitation of liability
To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to your use of or inability to use the App.
Nothing in this EULA limits or excludes liability that cannot be excluded under applicable law, including liability under the Australian Consumer Law.
11. Governing law
This EULA is governed by the laws of South Australia, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of South Australia, unless otherwise required by applicable law in your jurisdiction.
12. Entire agreement
This EULA, together with our Terms of Service, Privacy Policy, Disclaimer and Acceptable Use Policy, constitutes the entire agreement between you and us regarding the App.
